These Terms of Use ("Terms") govern your access to and use of https://www.lofortiequestrian.com and any related pages, forms, chat features, and communications (together, the "Site"), operated by LoForti Equestrian LLC ("LoForti Equestrian," "we," "us," or "our").

Please read these Terms carefully. They include a disclaimer of warranties, a limitation of liability, an indemnity, and a Virginia governing-law and venue clause.

1. Acceptance of These Terms

By accessing or using the Site, submitting a form, or using our chat feature, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.

You must be at least 18 years old, or the age of majority where you live, to submit forms, listings, or requests through the Site. If you use the Site on behalf of a business, barn, or other person, you represent that you are authorized to bind them to these Terms.

2. About Our Services

LoForti Equestrian provides English horse acquisition, matching, and sales services; training coordination; horse delivery; dedicated private horse transport; and riding-related education. Information on the Site is provided for general informational purposes. LoForti Equestrian is not a bank, lender, or veterinary practice, and nothing on the Site is an offer of credit or financing.

3. License to Use the Site

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purposes of learning about our horses and Services and communicating with us. All rights not expressly granted are reserved.

4. No Veterinary, Medical, or Professional Advice

Content on the Site, in chat, or in general communications (including descriptions of a horse's health, soundness, temperament, suitability, or training, and any educational content) is not veterinary, medical, legal, or financial advice and is not a substitute for the independent judgment of a licensed veterinarian or other qualified professional.

We strongly recommend that every buyer obtain an independent pre-purchase examination by a licensed veterinarian of the buyer's choosing before purchasing any horse. You are solely responsible for decisions you make about any horse's care, health, purchase, use, or suitability for any rider.

5. Horse Listings, Sales, and Transactions

• Information only. Horse listings, photos, videos, prices, and descriptions on the Site are provided for informational purposes and may change without notice. A listing is not an offer to sell that can be accepted. A horse may be sold, withdrawn, or changed in price at any time.
• Separate written agreement required. Any purchase, sale, consignment, lease, matching, training, delivery, or transport engagement is governed solely by a separate written agreement signed by the parties (a "Service Agreement" or bill of sale). No transaction is binding on LoForti Equestrian unless and until it is set out in a signed written agreement. If a Service Agreement conflicts with these Terms, the Service Agreement controls for that transaction.
• Descriptions. We try to describe horses accurately, but descriptions often rely on information provided by sellers and others. Except as expressly stated in a signed written agreement, we make no representation or warranty about any horse's health, soundness, age, breeding, registration, training, temperament, competition record, or fitness for a particular purpose or rider.
• Inherent risks. Horses are large animals whose behavior can be unpredictable. Equine activities — including riding, handling, trying, loading, and transporting horses — involve inherent risks of injury, death, and property damage. You assume those risks when you participate in equine activities, to the extent permitted by law, including the Virginia Equine Activity Liability Act (Va. Code § 3.2-6200 et seq.).

6. Transport Quotes and Estimates

• Any rate published on the Site (for example, private transport "starting at $3.00 per mile") is a starting reference rate only, not a guaranteed price or offer.
• Transport quotes provided through the Site, chat, phone, email, or text are estimates based on the information you provide. Final pricing may vary based on actual route and mileage, number of horses, equipment needs, layovers, wait time, tolls, fuel costs, weather, special handling, and other factors.
• Transport is subject to availability and scheduling and is governed by a separate written transport agreement, which may include requirements for health certificates, Coggins tests, and other documentation required by law. Pickup and arrival times are estimates and are not guaranteed.
• We may decline or postpone any transport where we believe, in our reasonable judgment, that conditions are unsafe for the horse, our personnel, or others.

7. User Submissions and Horse Listings

If you submit information through the Site — including through the Submit a Horse form, other forms, chat, or messages — ("User Submissions"), you agree that:

• Accuracy. All information you provide is true, accurate, complete, and not misleading, including all information about a horse's identity, age, breeding, registration, ownership, health, soundness, vices, medical and injury history, training, and behavior. You will promptly tell us about any change.
• Authority. You own the horse or are legally authorized to offer it for sale or lease, and the horse is not subject to any undisclosed lien, dispute, or claim.
• Rights in content. You own or have permission to use any photos, videos, and text you submit, and they do not infringe anyone's rights.
• License to us. You grant LoForti Equestrian a non-exclusive, royalty-free, worldwide license to use, reproduce, edit, display, and distribute your User Submissions to evaluate, market, and list the horse and to provide our Services. This license ends for future use when the horse is no longer being marketed by us, except for archival copies and content already distributed.
• Our discretion. We may decline, edit, or remove any User Submission or listing at any time, for any reason.
• Responsibility. You are responsible for your User Submissions and any consequences of inaccurate or incomplete information.

8. Communications, Text Messages, and Consent

By submitting your contact information, you agree that we may contact you by phone, email, chat, and text message about your inquiry or request. Marketing text messages will be sent only with your consent as required by law; consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help. Our Privacy Policy describes our text messaging program and your choices in more detail.

9. Prohibited Uses

You agree not to:

• use the Site for any unlawful, fraudulent, or deceptive purpose;
• submit false, misleading, or incomplete information, or impersonate any person or entity;
• list or offer a horse you do not own or are not authorized to sell;
• upload content that is unlawful, infringing, defamatory, harassing, obscene, or harmful;
• send spam or unsolicited commercial messages through the Site or our chat feature;
• introduce viruses, malware, or other harmful code;
• scrape, crawl, data-mine, or harvest information from the Site by automated means without our written permission;
• interfere with, disrupt, or attempt to gain unauthorized access to the Site, its servers, or any related systems or accounts; or
• copy, reproduce, or use Site content for commercial purposes without our written permission.

10. Intellectual Property

The Site and its content — including text, graphics, logos, the LoForti Equestrian name, photographs, videos, and design — are owned by or licensed to LoForti Equestrian LLC and are protected by copyright, trademark, and other laws. Except for the limited license in Section 3, you may not copy, modify, distribute, display, or create derivative works from Site content without our prior written permission. Third-party names and marks belong to their respective owners.

11. Third-Party Links and Services

The Site may contain links to, or features provided by, third parties (such as social media platforms, scheduling or payment tools, maps, and other websites). We do not control and are not responsible for third-party content, products, services, or practices. Your use of third-party sites and services is at your own risk and subject to their terms and policies.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT AND INFORMATION ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any content (including horse descriptions, prices, availability, or quotes) is accurate, complete, or current. Any warranties regarding a horse or a service will be only those expressly stated in a signed written agreement.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LOFORTI EQUESTRIAN LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Liability for any horse transaction or service is governed by the applicable signed written agreement. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for gross negligence or willful misconduct.

14. Indemnification

You agree to defend, indemnify, and hold harmless LoForti Equestrian LLC and its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Site; (b) your User Submissions, including any inaccurate or incomplete information about a horse; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

15. Termination

We may suspend or terminate your access to the Site, or remove any User Submission, at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination — including Sections 4, 5, 7, and 10 through 19 — will survive.

16. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. You agree that any such dispute will be brought exclusively in the state courts located in the City of Newport News, Virginia, or the United States District Court for the Eastern District of Virginia, Newport News Division, and you consent to the personal jurisdiction of those courts. TO THE EXTENT PERMITTED BY LAW, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL in any such dispute.

17. Changes to These Terms

We may update these Terms from time to time by posting the revised version on the Site and updating the "Last Updated" date. Changes take effect when posted. Your continued use of the Site after changes are posted means you accept the revised Terms.

18. Severability; Waiver; Assignment

If any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them without restriction.

19. Entire Agreement

These Terms, together with our Privacy Policy, are the entire agreement between you and LoForti Equestrian regarding your use of the Site and supersede any prior understandings about the Site. Any horse purchase, sale, consignment, lease, matching, training, delivery, or transport engagement is governed by its separate signed written agreement.
